Customers are solely responsible for: Confirming legality in their jurisdiction, obtaining necessary permits or approvals, ensuring appropriate handling and storage, maintaining proper documentation, and complying with all applicable laws and institutional policies.

4. Prohibited Uses

• Human consumption, injection, or administration by any route
• Medical treatment, therapy, or clinical applications
• Self-experimentation, biohacking, or personal health optimization
• Veterinary treatment or animal health applications
• Athletic performance enhancement or sports use
• Bodybuilding, fitness, or cosmetic applications
• Resale to non-qualified buyers or general public
• Distribution through non-research channels

Celvaris reserves the right to refuse service to any customer suspected of purchasing materials for prohibited applications. Violation of these terms may result in order cancellation, account termination, and reporting to relevant authorities where appropriate.

5. Liability Limitation

To the fullest extent permitted by applicable law, Celvaris (Celvaris Labs) and its directors, officers, employees, agents, affiliates, and suppliers are not liable for:

• Regulatory consequences: Legal, regulatory, or institutional consequences arising from customer’s possession, use, or handling of materials
• Indirect damages: Any indirect, incidental, consequential, special, or punitive damages including lost profits, business interruption, or reputational harm

Maximum Liability: In no event shall Celvaris’s total liability exceed the purchase price paid for the specific product(s) giving rise to the claim.

6. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Celvaris Labs, its directors, officers, employees, contractors, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use, handling, storage, or disposal of any materials purchased from Celvaris
• Any breach by you of any term in this Disclaimer, the Product Use Policy, the Terms of Service, or any related Celvaris policy
• Any misrepresentation regarding your intended use of materials
• Any use of materials for purposes prohibited under Section 4
• Any claim by a third party arising from your actions or omissions in relation to materials
• Any violation of applicable laws or regulations by you

This indemnification obligation survives the completion of any transaction and the termination of any relationship between the parties.

It is solely the customer’s responsibility to ensure compliance with:

• Institutional policies, ethics committee requirements, and approval processes
• Occupational health and safety regulations
• Waste disposal and environmental regulations

8. Batch Verification Reports (BVRs) & Quality Documentation

Celvaris provides Batch Verification Reports (BVRs) compiled from manufacturer-supplied analytical data for informational and traceability purposes only.

How BVRs Are Compiled:

• Celvaris sources materials from qualified manufacturers who provide original Certificates of Analysis (COAs)
• Manufacturer COAs are reviewed against Celvaris quality control standards prior to acceptance
• BVRs are compiled from verified manufacturer data, presenting key analytical specifications in a standardized format
• Celvaris does not conduct independent in-house analytical testing; all data originates from manufacturer documentation
• Manufacturer-identifying details are excluded from BVRs to protect supply chain integrity and commercial relationships

Important Limitations:

• BVR data reflects manufacturer testing at time of production and does not constitute independent verification by Celvaris
• Analytical results may be subject to method limitations, laboratory variability, and testing conditions at the manufacturer level
• BVRs do not guarantee identical results across all samples or stability over time
• Documentation is provided “as is” and does not constitute certification, guarantee, or warranty of suitability for any non-RUO application
• Celvaris does not certify products for therapeutic, diagnostic, in-vivo, veterinary, or clinical use

Batch Verification: Celvaris maintains a verification system (celvarislabs.com/verify) providing access to batch-specific BVR data for traceability and internal recordkeeping purposes.

9. Order Screening & Refusal Rights

Celvaris reserves the right to refuse, cancel, limit, or delay any order at our sole discretion, including where:

• Customer communications, requests, or inquiries indicate non-RUO intent (e.g., requests for dosing guidance, therapeutic advice, reconstitution protocols)
• Order patterns, quantities, or frequencies suggest personal use rather than institutional research
• Customer refuses to provide appropriate institutional affiliation, research context, or qualification information
• Customer has a history of policy violations, chargebacks, or problematic orders
• Celvaris suspects misuse, diversion, resale to unauthorized parties, or illegal activity
• Delivery address is residential rather than institutional/laboratory
• Customer’s jurisdiction has unclear or prohibitive regulations

Celvaris is not obligated to provide reasons for order refusal and will issue refunds for cancelled orders where payment has been processed.
